OMUSUBI QUEST — Terms of Service

These Terms of Service (these "Terms") constitute a legally binding agreement between you and Eudaimonia Universe JAPAN ("Company," "we," "us," or "our"), the operator of OMUSUBI QUEST, governing your access to and use of the OMUSUBI QUEST application, the website located at omusubiquest.com, and all related services, features, and content (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, Subscription Terms, Community Guidelines, and Cookie Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Service.


1. About the Service

OMUSUBI QUEST is a reflective journaling and well-being platform with social features. The Service allows you to record reflections, observations, and personal insights; to track changes in your personal values over time; to interact with AI-assisted features; and to share selected content with other users.

The Service is a self-reflection and well-being tool. It is not a medical, clinical, or therapeutic service. See Section 10 (Well-Being Disclaimer) for important limitations.

2. Eligibility

2.1 You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 or older and have full legal capacity to enter into these Terms.

2.2 We do not knowingly permit persons under 18 to register. If we become aware that a user is under 18, we will terminate the account and delete associated personal data in accordance with our Privacy Policy.

2.3 Certain features of the Service may be offered on an invitation-only basis. Invitations are personal and non-transferable unless we state otherwise.

3. Your Account

3.1 You must provide accurate, current, and complete information when registering and keep it updated.

3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@omusubi.quest if you suspect unauthorized use.

3.3 You may hold only one account unless we expressly permit otherwise. You may not sell, transfer, or license your account to any other person.

3.4 You may delete your account at any time through the in-app settings or by contacting us. Deletion of your account is subject to Section 13 (Termination) and the data-retention terms of our Privacy Policy.

4. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

You may not, except as permitted by mandatory applicable law:

5. Free and Paid Features; Levels

5.1 The Service uses a level-based progression system. Features available at Levels 1 through 7 are currently offered free of charge. Access to Level 8 and above requires a paid subscription, as described in our Subscription Terms.

5.2 We may change which features are free and which are paid, prospectively, in accordance with Section 15 (Changes to the Service and these Terms). Changes will not retroactively remove content you have already created.

6. Your Content

6.1 Definition. "Your Content" means all content you create, upload, post, or store on the Service, including journal entries, reflections, records of values and insights, cards, comments, images, and profile information.

6.2 Ownership. You retain all rights in and ownership of Your Content. We do not claim ownership of Your Content.

6.3 License to us. Solely to the extent necessary to operate, provide, secure, back up, and improve the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt (e.g., for formatting or display), and transmit Your Content. For content you choose to share with other users, this license also includes the right to display that content to the audience you selected. This license ends when Your Content is deleted from the Service, except (a) for content you shared with others that they have re-shared or saved where the Service permits, (b) as needed for legal compliance, backup, and security purposes for a limited period, and (c) for aggregated or de-identified data that no longer identifies you.

6.4 Private by default. Journal entries and reflections are private by default. Content is visible to other users only where you take an affirmative action to share it.

6.5 AI processing of Your Content. Certain features use artificial intelligence to process Your Content — for example, to help you recall, organize, or reflect on what you have written. AI outputs are generated suggestions, not facts or advice, and may be inaccurate. We do not use Your Content to train generalized AI models without your separate, explicit opt-in consent. Details of AI processing are set out in the Privacy Policy.

6.6 Your responsibilities. You represent and warrant that Your Content (a) is yours or you have the necessary rights to it, and (b) does not violate applicable law or the rights of any third party (including privacy, publicity, and intellectual-property rights). When you write about other people, respect their privacy; do not share another person's personal information in shared content without their consent.

6.7 Feedback. If you send us suggestions or feedback, you grant us the right to use them without restriction or compensation.

7. Social Features and Acceptable Use

7.1 The Service includes social features, such as sharing cards or reflections with other users, communities, and interactions with other users' shared content. Your use of these features is governed by these Terms and our Community Guidelines.

7.2 You must not use the Service to:

We may (but are not obliged to) review, remove, restrict, or demote content, and suspend or terminate accounts, that we reasonably believe violate these Terms or the Community Guidelines. Where required by applicable law, we will provide a statement of reasons and an opportunity to appeal. We are not responsible for content posted by users.

7.4 Reporting. You can report content or conduct via the in-app reporting function or at support@omusubi.quest.

8. Intellectual Property of the Company

The Service, including its software, design, text, graphics, logos, level and quest structures, card designs, and the OMUSUBI QUEST name and marks, is owned by the Company or its licensors and is protected by copyright, trademark, and other laws. Except for the limited license in Section 4 and your rights in Your Content, nothing in these Terms grants you any right, title, or interest in the Service.

9. Third-Party Services

The Service may contain links to, or integrate with, third-party services (e.g., payment processing by Stripe). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

10. Well-Being Disclaimer (Important)

10.1 Not medical or mental-health care. The Service, including all journaling tools, reflection prompts, AI-assisted features, metrics, and content, is provided for informational and self-reflection purposes only. It is not medical care, mental-health treatment, therapy, counseling, diagnosis, or a substitute for any of these, and no content on the Service constitutes medical or psychological advice.

10.2 No clinician relationship. Use of the Service does not create a physician–patient, therapist–client, or any other clinical or fiduciary relationship between you and the Company.

10.3 Consult professionals. Always seek the advice of a qualified health professional with any questions regarding a medical or mental-health condition. Never disregard professional advice or delay seeking it because of something you have read or experienced on the Service.

10.4 Emergencies. The Service is not designed for crisis support and is not monitored in real time. If you are in crisis or thinking about harming yourself or others, do not use the Service to seek help. Contact your local emergency number (e.g., 119 in Japan, 911 in the US, 112 in the EU) or a crisis hotline immediately.

10.5 No guaranteed outcomes. We make no representation that the Service will produce any particular well-being, psychological, or life outcome. Any metrics or visualizations offered by the Service are reflective tools, not clinical measurements.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR RELIABLE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in these Terms limits mandatory consumer rights under applicable law, including the Consumer Contract Act of Japan.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

12.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) TEN THOUSAND JAPANESE YEN (¥10,000).

12.3 The limitations in this Section 12 do not apply to (a) damages caused by our intentional misconduct or gross negligence, (b) liability that cannot be limited under applicable law, or (c) where you are a consumer under the Consumer Contract Act of Japan, damages caused by our negligence to the extent such limitation would be invalid under that Act.

13. Suspension and Termination

13.1 By you. You may stop using the Service and delete your account at any time.

13.2 By us. We may suspend or terminate your access to all or part of the Service, with reasonable prior notice where practicable, if (a) you materially breach these Terms or the Community Guidelines, (b) we are required to do so by law, (c) your conduct creates risk or possible legal exposure for us or other users, or (d) we discontinue the Service (see Section 15). Where the breach is severe (e.g., illegal content, threats to safety), we may suspend or terminate immediately without notice.

13.3 Effect. Upon termination, your license under Section 4 ends. You may export Your Content before deletion using the tools we provide; after account deletion, Your Content will be deleted or de-identified in accordance with the Privacy Policy. Sections that by their nature should survive (including 6.7, 8, 10, 11, 12, 14, 16, and 17) survive termination.

14. Indemnification

To the extent permitted by applicable law, you will indemnify and hold harmless the Company and its officers, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right. This Section does not apply to consumers to the extent prohibited by applicable consumer-protection law.

15. Changes to the Service and these Terms

15.1 We are continuously developing the Service and may add, change, or remove features. If we discontinue the Service entirely or remove a core feature materially affecting paid subscribers, we will give reasonable advance notice and provide a pro-rata refund of prepaid, unused subscription fees.

15.2 We may amend these Terms (a) where the amendment is in the general interest of users, or (b) where the amendment is reasonable in light of its purpose, necessity, and content, in accordance with Article 548-4 of the Civil Code of Japan (standard terms of contract). For material changes, we will give at least 30 days' advance notice via the Service or email, stating the effective date and the content of the change. If you do not agree to a material change, you may terminate your account before the effective date; continued use after the effective date constitutes acceptance.

16. Governing Law and Jurisdiction

16.1 These Terms are governed by the laws of Japan, without regard to conflict-of-law principles.

16.2 The Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance for any dispute arising out of or relating to these Terms or the Service.

16.3 If you are a consumer habitually resident in a jurisdiction whose laws grant you mandatory protections or jurisdiction rights (for example, in the EU/EEA or the UK), nothing in this Section deprives you of those protections or of the right to bring proceedings in your local courts where such right cannot be waived.

17. Miscellaneous

17.1 Severability. If any provision of these Terms is held invalid, the remaining provisions remain in full force.

17.2 No waiver. Our failure to enforce a provision is not a waiver of it.

17.3 Assignment. You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to notice to you and to applicable data-protection law.

17.4 Entire agreement. These Terms, together with the documents incorporated by reference, are the entire agreement between you and us regarding the Service.

17.5 Language. These Terms are prepared in English and Japanese. If there is any inconsistency between the versions, the English version prevails, except where mandatory law in your jurisdiction requires otherwise.

17.6 Export and sanctions. You may not use the Service in violation of applicable export-control or sanctions laws.
